Edward has been involved in many cases involving company law elements, including issues such as directors' duties, corporate capacity, financial assistance, company insolvency and company valuations. 

A number of these cases have involved questions of company law arising under the laws of offshore jurisdictions such as Bermuda and the Isle of Man.  Cases include:

  • Acting as junior counsel in a dispute about a public corporation's capacity to borrow under a bank facility letter.

  • Acting for the defendant directors alleged to have acted in breach of their duties in Langbar International v Rybak and Hampton Trust v Jackson.

  • Advising on the winding up of a regulated firm under the powers in FSMA 2000.

  • Acting as junior counsel for the defendant auditors in a case where it was alleged that pre-incorporation contracts were ineffective.

  • Acting for the claimant company in litigation arising from a share buy-back under section 162 Companies Act 1985.

  • A Pensions Regulator case involving substantial issues of company valuation where a single company in an interdependent group falls to be valued.

  • Advising on a dispute as to beneficial ownership of shareholdings in a Gibraltar company.
